Private Capital: Transaction Management

Effective transaction management (TM) can have a significant impact on an investment manager’s business.

In addition to improving risk management and lowering transaction costs, a considered through TM policy can reduce opportunity cost, burnish firm reputation and shape team culture.

Stakeholder management

A well-run TM process utilises all available resources. For example, we believe stakeholder management is an often overlooked, yet key component to any TM protocol.

Law firms in particular can have a transformative effect on a client’s business when engaged correctly. External legal counsel who thoroughly understand your business and process can bring several advantages.

Suitably selected counsel can be culture flag bearer, team educator and deal negotiator, all within set parameters. This deployment is particularly useful on flow deals.

To facilitate this, we support our private capital clients in implementing strong working relationships with choice service providers.

Forensic planning

Timely transaction planning is also key. Whilst this is an obvious statement, failure to do so effectively is a chief contributor to failed, delayed or uneconomical transactions.

There is significant value in thoughtful advisor selection, investment and funding structuring, diligence scoping and identifying key gating items, in each case at an early stage.

For some deals, it is hard to predict the precise path. In our experience, it is then even more important to road map what can happen, how you might react and who can help you. This is particularly important for new geographies where investment cycles can span long periods with resulting tax risk as an example.

How we can help

Our clients consult with us at the start of a large deal or new deal-type to establish a clear line of sight on completion steps and overall deal risk. Depending on the circumstances, that instruction can progress through to transaction execution.

Please let us know if we can assist you on any opportunity set.
